TERMS OF SERVICE
1. Definitions
1.1. "Authorized User" refers to individuals or entities granted access to the Sheridan Hills Baptist Church Services under this Agreement.
1.2. "Sheridan Hills Baptist Church Services" encompasses all services and content provided by Sheridan Hills Baptist Church, including but not limited to website access, digital content, and support services.
1.3. "User Account" denotes a registered account associated with the Authorized User for accessing the Sheridan Hills Baptist Church Services.

2. Use of Sheridan Hills Baptist Church Services
2.1. Authorized Users must comply with all applicable laws and regulations while using the Sheridan Hills Baptist Church Services. 2.2. Users are responsible for maintaining the confidentiality of their User Account information and are liable for all activities under their account.
3. Intellectual Property
3.1. All content, including but not limited to text, graphics, and software provided by Sheridan Hills Baptist Church, is protected by copyright, trademark, and other intellectual property laws.
3.2. Authorized Users may not reproduce, distribute, or create derivative works from the content without explicit permission from Sheridan Hills Baptist Church.
4. Authorized User Information
4.1. Authorized Users must provide accurate and current information when creating a User Account and using the Sheridan Hills Baptist Church Services.
4.2. Sheridan Hills Baptist Church may use Authorized User information in accordance with its privacy policy.
5. Payment of Donations
5.1. Authorized Users may make donations through the Sheridan Hills Baptist Church Services.
5.2. All donations are non-refundable unless otherwise specified.
6. Behavior of Authorized Users
6.1. Authorized Users agree not to engage in any behavior that disrupts or harms the Sheridan Hills Baptist Church Services or other users.
6.2. Sheridan Hills Baptist Church reserves the right to terminate User Accounts for violations of this section.
7. Term and Termination
7.1. This Agreement remains in effect until terminated by either party.
7.2. Either party may terminate this Agreement with written notice if the other party breaches any terms and fails to cure such breach within thirty (30) days.
8. Representations and Covenants
8.1. Each party represents and warrants that they have the authority to enter into this Agreement and fulfill their obligations hereunder.
9. Disclaimer of Warranty
9.1. Sheridan Hills Baptist Church provides its services on an "as is" basis and disclaims all warranties, express or implied, to the extent permitted by law.
10. Indemnification
10.1. Authorized Users agree to indemnify and hold harmless Sheridan Hills Baptist Church from any claims, damages, or losses arising out of their use of the services.
11. Limitation of Liability
11.1. Sheridan Hills Baptist Church shall not be liable for any indirect, incidental, or consequential damages arising from the use of its services. 11.2. Sheridan Hills Baptist Church will only be liable for direct damages resulting from gross negligence or willful misconduct.
12. User Accounts
12.1. Changes to User Accounts will be effective only when signed, submitted, and approved by Sheridan Hills Baptist Church.
12.2. A User Account may be terminated by mutual agreement or if a breach is not cured within thirty (30) days of written notice.
12.3. Sheridan Hills Baptist Church is not obligated to provide services if a User Account is not in force.
13. Governing Law; Jurisdiction; Attorneys’ Fees
13.1. This Agreement is governed by the laws of the State of Florida.
13.2. Any disputes arising under this Agreement will be adjudicated in Broward County, Florida.
13.3. The prevailing party in any legal action will be entitled to recover attorneys' fees and court costs.
14. Disputes between Authorized Users
14.1. Sheridan Hills Baptist Church reserves the right to monitor but has no obligation to resolve disputes between Authorized Users.
15. Disputes with Sheridan Hills Baptist Church
15.1. All disputes will be resolved through confidential binding arbitration in Broward County, Florida, under JAMS rules.
15.2. Parties agree to attempt informal resolution before seeking arbitration or legal action.
16. Copyright Policy
16.1. Sheridan Hills Baptist Church respects intellectual property rights and will respond to valid DMCA Copyright Notices.
16.2. Only DMCA Copyright Notices should be sent to Sheridan Hills Baptist Church's designated agent.
17. Notice
17.1. Notices will be deemed given when sent by email or facsimile with confirmation of transmission, or by commercial courier.
17.2. Sheridan Hills Baptist Church may post notices on its Website or send them via email to the addresses on record.
18. Further Assurances
18.1. The parties agree to execute and deliver additional documents as necessary to confirm their rights and obligations under this Agreement. 18.2. The parties will act in good faith in the performance of their obligations.
19. Force Majeure
19.1. Performance is excused if prevented by circumstances beyond the party’s control, including acts of God or labor disputes.
19.2. The affected party must notify the other party of the Force Majeure event.
20. Severability
20.1. If any provision is held invalid, the remaining provisions will remain in effect.
21. Modifications
21.1. Sheridan Hills Baptist Church may modify this Agreement at its discretion. Changes will be reflected on the Website and may be communicated by email.
22. No Joint Venture
22.1. The Agreement does not create a partnership or joint venture between the parties.
23. Assignment
23.1. Authorized Users may not assign their rights without written consent from Sheridan Hills Baptist Church.
23.2. Sheridan Hills Baptist Church may assign its rights freely.
24. Confidentiality
24.1. Both parties agree to protect each other's Confidential Information, including all data and proprietary information.
24.2. Authorized User Data and donation information are confidential to Sheridan Hills Baptist Church.
25. Survival
25.1. Sections 3, 4, 5, 6, 8, 10, 11, 13, 14, 15, 16, 17, 18, 19, 20, 21, 22, 23, and 24 will survive termination of this Agreement.
